LocalSeek Creator Collaboration Agreement

1. What this is

This is a free, non-exclusive collaboration. We are not employing you and we are not paying you a fee. Instead, this is an exchange of value: we give you free access and exposure (Section 2), and in return you agree to help promote the LocalSeek app (Sections 3–5). You remain free to work with anyone else.

2. What LocalSeek provides

While this Agreement is active, we will provide you, at no charge: free access to the LocalSeek creator features and your creator profile/listing in the LocalSeek creator directory; the opportunity to be featured or amplified across LocalSeek’s own channels (app, website, email, and LocalSeek’s social media accounts); and any additional perks we choose to offer from time to time. Perks are discretionary and may change or end at any time.

We do not guarantee any specific level of exposure, audience, traffic, bookings, or income from your participation.

3. Your commitment as a Creator

Minimum: at least one (1) video. Within sixty (60) days of joining (or a date we agree in writing), you agree to publish at least one video that genuinely features or mentions the LocalSeek app on at least one of your public social media accounts, and to keep it publicly available for at least ninety (90) days.

The video must clearly name LocalSeek and accurately describe what the app does. Where the platform allows it, please tag our official account and/or include a link or our handle.

More is encouraged — and rewarded with placement. Only the single video above is required, but the more LocalSeek-related videos and posts you publish, the more prominently we will feature you. Placement is determined at our discretion and may change at any time; we do not pay a fee for additional content.

Submit the link for verification. You agree to send us the public link to your required video (through your creator profile or to support@localseek.app) within the same time period so we can verify it, confirm the required disclosure (Section 4) is present, and feature it. You agree to keep the video public for at least ninety (90) days and to let us know if it is removed during that period.

Deadline and removal. You must publish the required video and submit its public link within sixty (60) days of joining. If you do not, or if you take the video down before the ninety (90)-day period ends, the collaboration is treated as not fulfilled: we may end this Agreement, remove you from the creator program and the creator directory, and delete your creator profile and submissions from our database (subject to the Privacy Policy and any records we must keep by law). That is our only remedy for a missed or removed video — there is no monetary penalty.

4. Required disclosure (this protects you and us)

Because you receive free access and other value from us, the law in both Canada and the United States requires you to clearly and conspicuously disclose your connection to LocalSeek in any content promoting LocalSeek. You agree to: include a clear disclosure (e.g. “#ad”, “#sponsored”, “Paid partnership”, or “In partnership with LocalSeek”) placed where viewers will actually see it; use the platform’s built-in paid-partnership/branded-content tools where they exist; and keep your statements about LocalSeek truthful and based on your genuine experience.

You are responsible for your disclosures complying with applicable rules, including the U.S. FTC Endorsement Guides and the Canadian Competition Bureau’s influencer-marketing guidance.

5. Content standards

Your LocalSeek-related content must not: be false, misleading, deceptive, or disparaging; be unlawful, hateful, harassing, sexually explicit, or otherwise objectionable; infringe anyone’s intellectual-property, privacy, or publicity rights; or violate the terms of the social-media platform where you post it.

We may ask you to correct or remove content that breaches this Section, and we may end this Agreement if you do not.

6. Your content, and the license you give us

You keep ownership of the content you create. For any content you make that features or mentions LocalSeek, you grant LocalSeek a non-exclusive, worldwide, royalty-free license to view, share, repost, embed, and feature that content (in whole or in part) in LocalSeek’s own marketing across LocalSeek-owned channels, crediting you where reasonable. This license lasts while this Agreement is active and continues for content already posted or shared.

You represent and warrant that you own or have all rights needed to create and post your content and to grant this license, and that your content does not infringe any third party’s rights.

7. Independent contractor; no payment; no agency

You are an independent party, not an employee, agent, partner, or joint venturer of LocalSeek. This Agreement does not entitle you to any salary, fee, commission, benefits, or reimbursement unless we agree to a specific paid campaign in a separate written agreement. You are responsible for your own taxes on the value of any perks you receive, where applicable.

8. No guarantees

We provide the program and any perks “as is.” We do not guarantee continued access, any audience or sales for you, or any results for either of us.

9. Intellectual property

LocalSeek owns its name, logo, trademarks, app, and marketing materials. We grant you a limited, revocable permission to reference and display the LocalSeek name and logo solely to create the promotional content contemplated by this Agreement, following any brand guidelines we provide. You gain no other rights in our brand.

10. Privacy

We handle your personal information in accordance with the LocalSeek Privacy Policy. You agree we may display your public creator profile and the LocalSeek-related content you post as described above.

11. Term and termination

This Agreement starts when you accept it and continues until either party ends it. Either you or LocalSeek may end it at any time, for any reason, on written notice (including in-app or by email). On termination, we may remove your creator listing and stop featuring you, and you may stop posting about LocalSeek. The license in Section 6 continues for content you already posted or that we already shared; Sections 5–9 and 12–14 survive termination.

12. Disclaimers and limitation of liability

To the fullest extent permitted by law, LocalSeek is not liable for any indirect, incidental, special, or consequential damages, or for lost profits or audience, arising from this Agreement or the program. Our total liability to you for any claim is limited to CAD $100.

13. Indemnity

You agree to indemnify and hold LocalSeek harmless from any claim, loss, or expense arising from your content, your conduct, your breach of this Agreement, your failure to disclose as required, or your infringement of any third party’s rights.

14. Governing law and disputes

If you are in Canada, this Agreement is governed by the laws of the Province of Ontario, and disputes are subject to the exclusive jurisdiction of the courts of Ontario. If you are in the United States: to the fullest extent permitted by law, any dispute will be resolved by binding individual arbitration on an individual basis, and you and LocalSeek each waive any right to participate in a class or representative action. Nothing here prevents either party from bringing an individual claim in small-claims court where available.

15. Changes, entire agreement, and contact

We may update this Agreement on notice; continued participation means you accept the updated terms. This Agreement is the entire agreement between us about the creator program and replaces any prior understanding. If any part is unenforceable, the rest still applies.
